These Terms and Conditions (“Terms”) govern your access to and use of the website https://eloquitech.co.za and any products, services, dashboards, or tools provided by Eloqui Tech (“Eloqui Tech”, “we”, “us”, or “our”). By accessing or using our website or services, you agree to be bound by these Terms.

1. Eligibility and acceptance of terms

By using the website or creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using Eloqui Tech on behalf of a company or organisation, you represent that you are authorised to accept these Terms on its behalf.

2. Changes to these terms

Eloqui Tech may update or modify these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above and, where appropriate, by additional notice. Your continued use of the website or services after changes take effect constitutes acceptance of the revised Terms.

3. Services and products

Eloqui Tech develops and provides software products including, but not limited to, BrandSentinel, MimicSync, VariaCart, FraudGuard Pro, and EstateVision (collectively, the “Services”). Specific features, service levels, and commercial terms may be set out in separate agreements, statements of work, or order forms between you and Eloqui Tech.

4. Accounts and security

You may need an account to access certain parts of the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Eloqui Tech promptly of any unauthorised use or suspected breach of security.

5. Acceptable use

You agree not to use the website or Services in any way that:

  • Violates any applicable law, regulation, or third‑party rights.
  • Involves unauthorised access, interference with, or disruption of any systems or networks.
  • Attempts to reverse‑engineer, decompile, or otherwise derive source code from the Services except where permitted by law.
  • Introduces malware, automated scraping, or high‑volume requests that degrade performance.

6. Intellectual property

All content and materials on the website and within the Services—including software, designs, logos, text, graphics, and trademarks—are owned by or licensed to Eloqui Tech and are protected by applicable intellectual‑property laws. Subject to these Terms and any separate commercial agreement, Eloqui Tech grants you a limited, non‑exclusive, non‑transferable licence to access and use the Services for your internal business purposes only.

7. User content

To the extent you provide or upload data, text, or other content into the Services (“User Content”), you retain ownership of your User Content. You grant Eloqui Tech a non‑exclusive, worldwide licence to host, process, and use User Content only as necessary to provide, secure, and improve the Services in accordance with our agreements and applicable law.

8. Privacy

Eloqui Tech’s collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. By using the website or Services you acknowledge that you have read and understood the Privacy Policy and consent to our handling of personal data as described there.

9. Third‑party services and links

The website or Services may contain links to third‑party websites or integrate with third‑party platforms. Eloqui Tech does not control and is not responsible for the content, security, or privacy practices of any third‑party sites or services, and access to them is at your own risk.

10. Disclaimers

The website and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non‑infringement, to the maximum extent permitted by law.

Eloqui Tech does not warrant that the Services will be uninterrupted, error‑free, or completely secure, or that they will detect or prevent every possible risk, incident, or fraudulent activity.

11. Limitation of liability

To the maximum extent permitted by law, Eloqui Tech and its directors, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising out of or in connection with your use of the website or Services, even if advised of the possibility of such damages.

12. Suspension and termination

Eloqui Tech may suspend or terminate access to the website or Services if you materially breach these Terms, use the Services in a way that causes risk or harm, or where required by law or a regulatory authority. Upon termination, your right to use the Services will cease, but any provisions that by their nature should survive (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.

13. Governing law and disputes

These Terms are governed by the laws of South Africa, without regard to its conflict‑of‑law rules. Any dispute arising out of or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of South Africa, unless otherwise agreed in a separate written contract.
